  3. Distance contract: a contract concluded within the framework of a system organized by the entrepreneur for the remote sale of products and/or services, whereby, up to and including the conclusion of the contract, exclusive use is made of one or more means of distance communication.

Article 3 – Applicability

  1. These General Terms and Conditions apply to every offer from the entrepreneur and to every distance contract concluded between the entrepreneur and the consumer.

  2. Before the distance contract is concluded, the text of these General Terms and Conditions will be made available to the consumer. If this is not reasonably possible, it will be indicated, before the distance contract is concluded, that the General Terms and Conditions are available for inspection at the entrepreneur’s premises and that they will be sent free of charge as soon as possible at the consumer’s request.

  3. If the distance contract is concluded electronically, the text of these General Terms and Conditions may, in deviation from the previous paragraph and before the distance contract is concluded, be provided to the consumer electronically in such a way that the consumer can easily store it on a durable data carrier. If this is not reasonably possible, it will be indicated where the General Terms and Conditions can be consulted electronically and that they will be sent electronically or otherwise free of charge at the consumer’s request.

  4. If, in addition to these General Terms and Conditions, specific product or service conditions apply, paragraphs 2 and 3 apply mutatis mutandis and, in the event of conflicting conditions, the consumer may always rely on the provision that is most favorable to them.

Article 4 – The offer

  1. If an offer has a limited period of validity or is made subject to conditions, this will be expressly stated in the offer.

  2. The offer contains a complete and accurate description of the products and/or services offered. The description is sufficiently detailed to enable a proper assessment of the offer by the consumer. If the entrepreneur uses images, these are a truthful representation of the products and/or services. Obvious mistakes or errors in the offer are not binding on the entrepreneur.

  3. Each offer contains information that makes it clear to the consumer what rights and obligations are attached to acceptance of the offer, in particular:

    • the price including taxes;

    • any delivery costs;

    • the method by which the contract will be concluded and which actions are required for this;

    • whether or not the right of withdrawal applies;

    • the method of payment, delivery, or performance of the contract;

    • the period for accepting the offer or the period for honoring the price;

    • the rate for distance communication if the cost of using the means of distance communication is calculated on a basis other than the basic rate;

    • if the contract is archived after conclusion, how it can be consulted by the consumer;

    • the way in which the consumer, before concluding the contract, can check and, if desired, correct data provided by them;

    • the possible languages, besides Dutch, in which the contract can be concluded;

    • the codes of conduct to which the entrepreneur has submitted and how the consumer can consult these codes of conduct electronically; and

    • the minimum duration of the distance contract in the event of a contract that involves continuous or periodic delivery of products or services.

Article 5 – The contract

  1. Subject to the provisions of paragraph 4, the contract is concluded at the moment the consumer accepts the offer and fulfils the associated conditions.

  2. If the consumer has accepted the offer electronically, the entrepreneur will immediately confirm receipt of acceptance of the offer electronically. As long as receipt of this acceptance has not been confirmed, the consumer may dissolve the contract.

  3. If the contract is concluded electronically, the entrepreneur shall take appropriate technical and organizational measures to secure the electronic transmission of data and ensure a safe web environment. If the consumer can pay electronically, the entrepreneur will observe appropriate security measures.

  4. The entrepreneur may—within legal frameworks—obtain information about whether the consumer can meet their payment obligations, as well as all facts and factors that are important for a responsible conclusion of the distance contract. If, based on this investigation, the entrepreneur has good grounds not to enter into the contract, they are entitled to refuse an order or request with reasons, or to attach special conditions to its performance.

  5. If product stock information is incorrect and the product cannot be delivered, no rights can be derived by the buyer from the stated stock. The purchase amount will then be refunded within 5 working days.

  6. The entrepreneur will provide the consumer with the following information, in writing or in such a way that it can be stored by the consumer on a durable data carrier in an accessible manner, with the product or service:
    a. the visiting address of the entrepreneur’s establishment to which the consumer can address complaints;
    b. the conditions under which and the manner in which the consumer may exercise the right of withdrawal, or a clear statement regarding the exclusion of the right of withdrawal;
    c. information about after-sales service and guarantees;
    d. the data referred to in Article 4(3) of these conditions, unless the entrepreneur has already provided this information to the consumer prior to performance of the contract;
    e. the requirements for terminating the contract if the contract has a duration of more than one year or is of indefinite duration.

  7. If the entrepreneur has undertaken to deliver a series of products or services, the provision in the previous paragraph applies only to the first delivery.

Article 6 – Right of withdrawal for product delivery

  1. When purchasing products, the consumer has the option to dissolve the contract without giving reasons within fourteen days. This period starts on the day after the product is received by or on behalf of the consumer.

  2. After exercising the right of withdrawal within 14 days, the consumer then has 14 days to ensure the item is actually returned.

  3. During this period, the consumer will handle the product and packaging with care. They will only unpack or use the product to the extent necessary to determine the nature, characteristics, and functioning of the product. If exercising the right of withdrawal, the consumer will return the product with all supplied accessories and—if reasonably possible—in the original condition and packaging to the entrepreneur, in accordance with reasonable and clear instructions provided by the entrepreneur.

Article 7 – Consumer obligations during the cooling-off period

  1. During the cooling-off period, the consumer will handle the product and the packaging with care. They will only unpack or use the product to the extent necessary to determine the nature, characteristics, and functioning of the product—comparable to how it could be done in a store.

  2. The consumer is only liable for any diminished value of the product resulting from handling the product beyond what is permitted in paragraph 1.

  3. The consumer is not liable for diminished value of the product if the entrepreneur did not provide all legally required information about the right of withdrawal before or at the conclusion of the contract.

Article 8 – Costs in the event of withdrawal

  1. If the consumer makes use of the right of withdrawal, the costs of return shipment are borne by the consumer.

  2. If the consumer has already paid an amount, the entrepreneur will refund this amount as soon as possible, but no later than 14 days after the return or withdrawal.

  3. If items are collected from the consumer by WOLFF outdoor in the event of withdrawal, a fee of €85 will be charged.

Article 9 – Exclusion of the right of withdrawal

  1. If the consumer does not have a right of withdrawal, this can only be excluded by the entrepreneur if the entrepreneur has clearly stated this in the offer, at least in good time before the conclusion of the contract.

  2. Exclusion of the right of withdrawal is only possible for products:
    a) made to the consumer’s specifications;
    b) that are clearly personal in nature;
    c) that by their nature cannot be returned;
    d) that can spoil or age quickly;
    e) whose price is dependent on fluctuations in the financial market that the entrepreneur cannot influence;
    f) newspapers and magazines;
    g) audio and video recordings and computer software whose seal has been broken by the consumer.

  3. Exclusion of the right of withdrawal is only possible for services:
    a) regarding accommodation, transport, restaurant services, or leisure activities to be carried out on a specific date or during a specific period;
    b) where performance has begun with the consumer’s express consent before the cooling-off period has expired;
    c) relating to betting and lotteries.

Article 10 – The price

  1. During the validity period stated in the offer, the prices of the products and/or services offered will not be increased, except for price changes resulting from changes in VAT rates.

  2. Contrary to the previous paragraph, the entrepreneur may offer products or services whose prices are subject to fluctuations in the financial market and over which the entrepreneur has no influence, at variable prices. This linkage to fluctuations and the fact that any prices stated are target prices will be mentioned in the offer.

  3. Price increases within 3 months after the conclusion of the contract are only permitted if they are the result of statutory regulations or provisions.

  4. Price increases from 3 months after the conclusion of the contract are only permitted if the entrepreneur has stipulated this and:
    a) they are the result of statutory regulations or provisions; or
    b) the consumer has the right to terminate the contract as of the day the price increase takes effect.

  5. Online offers are subject to price errors; no contract is concluded if pricing errors have been made.

  6. The prices of products or services mentioned in the offer include VAT.

Article 11 – Conformity and warranty

  1. The entrepreneur guarantees that the products and/or services comply with the contract, the specifications stated in the offer, reasonable requirements of soundness and/or usability, and the legal provisions and/or government regulations in force on the date of the conclusion of the contract.

  2. Product warranties are not transferable from consumer to consumer. The warranty is tied to the invoice address stated on the purchase invoice.

  3. Warranty is provided by the brand’s supplier. The applicable warranty conditions are determined by the respective supplier.

Article 12 – Delivery and performance

  1. The entrepreneur will take the greatest possible care when receiving and executing orders for products and when assessing requests for the provision of services.

  2. The place of delivery is the address that the consumer has made known to the company.

  3. Subject to what is stated in Article 4 of these Terms and Conditions, the company will execute accepted orders with due speed but no later than within 30 days, unless a longer delivery period has been agreed. If delivery is delayed, or if an order cannot be carried out or can only be carried out in part, the consumer will be informed no later than one month after placing the order. In that case, the consumer has the right to dissolve the contract free of charge and is entitled to any compensation.

  4. In the event of dissolution in accordance with the previous paragraph, the entrepreneur will refund the amount paid by the consumer as soon as possible, but no later than 30 days after dissolution.

  5. If delivery of an ordered product proves impossible, the entrepreneur will endeavor to make a replacement article available. It will be clearly and comprehensibly stated at the latest upon delivery that a replacement article is being delivered. For replacement articles, the right of withdrawal cannot be excluded.

  6. The risk of damage to and/or loss of products rests with the entrepreneur until the moment of delivery to the consumer, unless expressly agreed otherwise.

  7. Delivered goods remain the property of WOLFF outdoor at all times until payment for the goods has been made in full. WOLFF outdoor will invoke its retention of title in the event of non-payment.

Article 13 – Delivery (on-site conditions)

In case of delivery of furniture, the Counterparty is responsible for:

  • Adequate lighting at the place where the furniture is to be placed;

  • A sufficiently prepared site so that WOLFF outdoor staff can carry out placement in an easily accessible area without delay;

  • Measures (such as shielding) necessary to perform the placement of the furniture.

WOLFF outdoor is not responsible for the quality or finish of the subfloor and can never be held liable for drilling through cables and/or pipes. After delivery, assembly, and/or adjustment of the furniture in the presence of the customer, no claims can be made afterwards regarding visible deviations in paintwork and/or damage.

Article 14 – Liability

If WOLFF outdoor should be liable, such liability is limited as set out in this provision.
WOLFF outdoor is not liable for any damage of any kind resulting from the entrepreneur relying on incorrect and/or incomplete information provided by or on behalf of the Counterparty.
WOLFF outdoor is never liable for indirect damage, including consequential damage, lost profits, missed savings, and damage due to business or other interruptions. In the case of consumer purchases, this limitation does not extend beyond what is permitted under Article 7:24(2) Dutch Civil Code.
If WOLFF outdoor is liable for any damage, WOLFF outdoor’s liability is limited to a maximum of twice the invoice value of the order, or at least to that part of the order to which the liability relates.
WOLFF outdoor is not liable for any damage to furniture or other products that is reported to us later than 3 working days after receipt of the item.
WOLFF outdoor’s liability is in all cases limited to the amount paid out by its insurer in the relevant case.

Article 15 – Long-term transactions

  1. The consumer may terminate a contract concluded for an indefinite period at any time, subject to the agreed termination rules and a notice period of no more than one month.

  2. A contract concluded for a definite period has a maximum term of two years. If it has been agreed that the distance contract will be tacitly extended upon the consumer’s silence, the contract will be continued as a contract for an indefinite period and the notice period after continuation will be a maximum of one month.

Article 16 – Payment

  1. Unless otherwise agreed later, amounts owed by the consumer must be paid within three days after delivery of the goods or, in the case of a contract for services, within three days after issuance of the documents relating to that contract.

  2. In sales of products to consumers, advance payments of more than 50% may never be stipulated in the General Terms and Conditions. Where an advance payment has been stipulated, the consumer cannot assert any rights regarding the execution of the relevant order or service(s) until the stipulated advance payment has been made.

  3. The consumer has the duty to promptly report inaccuracies in provided or stated payment details to the entrepreneur.

  4. In the event of non-payment by the consumer, and subject to legal limitations, the entrepreneur has the right to charge the consumer reasonable costs that were communicated in advance.

Article 17 – Complaints procedure

  1. The entrepreneur has a sufficiently publicized complaints procedure and handles complaints in accordance with this procedure.

  2. Complaints about the execution of the contract must be submitted to the entrepreneur within 7 days after the consumer has discovered the defects, fully and clearly described.

  3. Complaints submitted to the entrepreneur will be answered within 14 days from the date of receipt. If a complaint requires a foreseeably longer processing time, the entrepreneur will respond within 14 days with a notice of receipt and an indication of when the consumer can expect a more detailed answer.

  4. If the complaint cannot be resolved by mutual agreement, a dispute arises that is subject to the dispute resolution procedure.

  5. Consumers must first address complaints to the entrepreneur. If a complaint cannot be resolved by mutual agreement, the consumer should contact Stichting WebwinkelKeur (webwinkelkeur.nl), which will mediate free of charge. If resolution is still not achieved, the consumer has the option to have the complaint handled by the independent dispute committee appointed by Stichting WebwinkelKeur; its decision is binding and both entrepreneur and consumer agree to this binding decision. Costs are associated with submitting a dispute to this committee, to be paid by the consumer. Complaints can also be submitted via the European ODR platform (http://ec.europa.eu/odr).

  6. A complaint does not suspend the entrepreneur’s obligations, unless the entrepreneur indicates otherwise in writing.

  7. If a complaint is found to be justified by the entrepreneur, the entrepreneur will, at its discretion, replace or repair the delivered products free of charge.

Article 18 – Additional or deviating provisions

Additional or deviating provisions from these General Terms and Conditions may not be to the consumer’s detriment and must be recorded in writing or in such a way that they can be stored by the consumer on a durable data carrier in an accessible manner.
